Proposed Changes to OATA Constitution

Greetings OATA Members,
Two years ago, the OATA Executive Committee (EC) voted to re-evaluate the work done by a previous work group charged with evaluating the structure of the OATA and its committees. The Ad-hoc work group created a list of proposed changes and presented them to the Legislative Committee in late 2024. The Legislative Committee worked to finalize the specific language and presented a draft to the EC in January 2025. The EC voted to bring the changes for a full membership vote during the May 2025 business meeting. As required by our constitution, this email is the membership's official notice of the proposed changes.
 
Attached in this email are two PDFs: one is the full draft of the current constitution and the second is a side-by-side comparison of the proposed constitutional changes. The left side of the document is the proposed language and the right side is the current. Here is a brief overview:
Article IX: Section 1
-Combines the VP of Governmental Affairs and the VP of Intra-Association Affairs into 1 Vice President roll
-Eliminates the office of the Immediate Past President
Article IX: Section 2
-Removes the district board criteria that there must be 2 at large members, and instead allows for a maximum of up to 2 members.
Article IX: Section 3
-Further underscores the EC structure changes of 1 VP and no Immediate Past President
Article X
-Allows the executive committee (EC) to enter into a contractual relationship with a person or business to conduct and carry out the business of the association.
Article XII: Section 2
-Adjusts the quorum language to be more ambiguous so it can be applied to any future EC structure outlined in the constitution or any bylaw changes on who is a voting member of the EC.
If the membership votes to approve the constitutional changes, there will be subsequent changes that need to happen in the bylaws to reflect this new language. These changes will not require a full membership vote.
 
One specific change that the EC and Legislative Committee have collaborated on is the election cycle of the elected EC members. Under the current cycle, all offices are open at the same time. Potentially, the entire EC (except for the President and Immediate Past President) could change at the same time. Our founding members chose this cadence because of the labor and expense that occurred mailing out ballots. With today’s technology, we have no added cost and vote counting happens instantly. Our election cycle will be altered so some members of the EC will take office on even numbered years and others on odd numbered years.
